Letter to GlasCraft Channel Partners

Subject: GlasCraft Acquisition by Graco Inc.

Cohesant Technologies Inc. (NASDAQ: COHT) (“Cohesant”) today announced that it has entered into a definitive agreement pursuant to which Graco Inc. (NYSE: GGG) (“Graco”) will acquire Cohesant’s GlasCraft Inc. (“GlasCraft”) subsidiary. The acquisition will be accomplished through a merger with GlasCraft’s parent entity, Cohesant Technologies, and a spin off of all the non-GlasCraft business operations.

Cohesant recently consolidated all of its infrastructure protection and renewal operations under the umbrella of its CIPAR subsidiary. As part of the sale of GlasCraft, Cohesant will spin-off its CIPAR subsidiary. The resulting company will be known as Cohesant Inc. The spun-off entity will be operated independently of Graco and GlasCraft. The closing will take place following approval of the acquisition and spin-off by the shareholders of Cohesant Technologies, which is expected to occur sometime in early 2008.

GlasCraft manufactures and sells equipment for use in the Composites / FRP, high performance coatings, and polyurethane foam industries. This acquisition expands the Graco product portfolio through addition of the GlasCraft Composites / FRP business – one which has over 4 decades of product, material, and industry experience behind it. Once acquired, the GlasCraft businesses will be managed within the operations of the Applied Fluid Technologies Division of Graco.

For now, it will be business as usual for both Graco and GlasCraft. You will continue to receive the same products and levels of quality and customer service that you have come to expect from both companies. Graco customers and distributors will continue to purchase via their Graco accounts and be supported by their Graco sales staff and customer service organizations in Minnesota and Ohio. GlasCraft customers and distributors will continue to purchase via their GlasCraft accounts and be supported by their GlasCraft sales staff and customer service organization in Indiana.

Over the coming months, the management teams of Graco and GlasCraft will begin working together to develop our longer term strategies, focusing on how to best serve the needs of our end user customers, distributors, employees, and shareholders. Part of that process will involve getting input from key end users and channel partners to insure that our go-forward strategies create a win-win situation for all involved. We look forward to further dialogue and gaining the benefit of your experience and point of view.

We are very excited about the opportunities this acquisition presents, including expanded access to new technologies, entry into new markets, and leverage of the combined strengths and experience base of both companies. We look forward to continuing our work with you.
